Capita Group is acquiring Carillion IT Services (CITS) for £36 million on a cash-free, debt-free basis.
Carillion picked up the IT business when it bought construction and services firm Alfred McAlpine in February 2008. CITS offers outsourcing, managed services and network infrastructure solutions to external clients. CITS is forecasting, on a pro forma, standalone basis, an operating profit for the year ending 31 December 2009 of £3.7 million on a turnover of £66 million.
This acquisition will add greater capacity and breadth of expertise to Capita's IT Services division.
Paul Pindar, chief executive of Capita Group, said the acquisition of CITS "will significantly enhance and expand Capita's position in the IT services market".
There will be "significant operational and cost synergies" by merging CITS and Capita IT Services. CITS also has a strong presence in Scotland.
Capita Group is a major UK's provider of business process outsourcing with 36,000 people at more than 300 sites, including 62 business centres across the UK, Ireland, the Channel Islands and India. It is a member of the FTSE100 with revenues for 2008 of £2,441 million.
Carillion has also announced that it has outsourced the provision of its own IT services to Accenture, with whom Carillion has already outsourced a range of finance and human resources functions.
